ecotel communication ag has signed an agreement to acquire all shares of ADTG Allgemeine Telefondienstleistungs GmbH, Rathenow/Brandenburg, one of the biggest telecommunications resellers for Business customers in Germany. The transaction has an effective date of January 1, 2007. Simultaneously ecotel enters into a long term sales partnership for fixed and mobile telecommunications services with the former owners of ADTG.
The acquisition is in line with ecotel’s strategy to consolidate the German reseller market und enables ecotel to secure additional market share in the B2B segment. In addition, ecotel ex-pects synergies on procurement and efficiency increases through an optimization of the or-ganisational structure.

ADTG is a supplier of telecommunication services for fixed and mobile products for business customers and has appr. 5.600 business customers across Germany. ADTG expects reve-nues of over Euro 7 Mio for 2007. Sales are done exclusively via indirect sales over a nationwide sales partner network. The most important sales partners are the sellers of ADTG: CBTEL (Rathenow), MaKoTec GmbH (Osnabrück), MPC Service GmbH (Heidelberg) and BTD Telekommunikation GmbH (München).

The seller group has one of the biggest independent telecommunications sales teams in Germany. An essential part of the transaction is the setup of a long term sales partnership with ecotel. A further part of the cooperation includes the recommendation towards the gen-eral assembly to elect Mirko Mach, managing director of MPC Service GmbH, as new mem-ber of the ecotel’s supervisory board.

ADTG will initially continue to exist as a standalone company within the ecotel group. A full integration into ecotel is planned in the following months with a full takeover of the 15 ADTG employees.
The purchase price consists of cash and equity from ecotel’s authorized stock with the major part of the purchase price in stock. The closing of the transaction is expected to take place in the next weeks. The seller and buyer agreed not to disclose the purchase price.
